1. Introduction

Welcome to Keys Locker. These Terms & Conditions (“Terms”) govern your access to and use of the Keys Locker website at keyslocker.com (the “Site”) and any purchases made through it. By accessing or using our Site, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use our Site.

Keys Locker is operated by Keys Locker LLC, a Wyoming limited liability company located at 30 N Gould St Ste N, Sheridan, Wyoming 82801, United States. Keys Locker is an authorized Microsoft Cloud Solution Provider (CSP), and all Microsoft cloud subscription products sold through our Site are provisioned directly through Microsoft’s official CSP program.

2. Definitions

“Products” or “Services” refers to Microsoft cloud subscription plans and related services available for purchase on the Site, including but not limited to Microsoft 365, Dynamics 365, Power Platform, and Microsoft security products.
“Subscription” refers to a recurring-term license to access and use Microsoft cloud services, provisioned through the Microsoft CSP program.
“Tenant” refers to your organization’s Microsoft 365 environment, identified by a domain (e.g., yourcompany.onmicrosoft.com).
“Seat” or “License” refers to a per-user entitlement within a subscription, granting one named user access to the applicable Microsoft service.
“We,” “Us,” “Our” refers to Keys Locker LLC.
“You,” “Your,” “Customer” refers to any individual or entity that accesses the Site or makes a purchase.
“Microsoft Customer Agreement” (MCA) refers to Microsoft’s standard customer agreement that governs your use of Microsoft cloud products and services.

3. Products & Services

Keys Locker is an authorized Microsoft Cloud Solution Provider (CSP). All subscription products sold through our Site are genuine Microsoft cloud services provisioned through Microsoft’s official CSP program. By purchasing a Subscription, you receive per-user access rights to the applicable Microsoft cloud service for the subscription term.

All subscriptions are sourced and provisioned exclusively through Microsoft’s authorized CSP channel. Keys Locker does not sell third-party activation codes, OEM keys, or any software outside of the Microsoft CSP program.
Subscriptions are licensed on a per-user, per-month basis unless otherwise stated in the product description.
Use of Microsoft services is subject to Microsoft’s use rights, service terms, and the Microsoft Customer Agreement (see Section 4).
Features, availability, and pricing of Microsoft products are determined by Microsoft and may change. We will communicate any material changes that affect your active subscriptions.
We do not guarantee compatibility with specific third-party software, hardware, or configurations. Please review the product requirements on each product page and on Microsoft’s official documentation before purchasing.

4. Microsoft Customer Agreement

By purchasing any Microsoft subscription through Keys Locker, you agree to the Microsoft Customer Agreement (MCA), which governs your use of Microsoft cloud products and services. The MCA is a perpetual agreement between you and Microsoft and can be reviewed at microsoft.com/licensing/docs/customeragreement.

As your CSP partner, Keys Locker will request your acceptance of the Microsoft Customer Agreement during the onboarding process. You may not use any Microsoft subscription provisioned through us without first accepting the MCA.

5. Account Registration

To make a purchase, you may be asked to create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your password and account credentials.
Accept responsibility for all activities that occur under your account.
Notify us immediately at support@keyslocker.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent activity.

6. Subscription Terms

Billing Cycle
Subscriptions are billed monthly or annually depending on the plan selected at checkout. Your billing cycle begins on the date your subscription is provisioned.

Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis until you cancel.

Seat Changes
You may add seats (additional user licenses) to your subscription at any time. Added seats are prorated to align with your current billing cycle. Reducing seats is subject to the terms of your subscription plan — for monthly plans, seat reductions take effect at the next billing cycle.

Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellation takes effect at the end of the current billing period; you will retain access until that date. Please see our Refund Policy for details on refunds upon cancellation.

Price Changes
We reserve the right to change subscription pricing. We will notify you by email at least 30 days in advance of any price change affecting your active subscription. Your continued use of the service after the price change takes effect constitutes acceptance of the new price.

7. Orders & Payment

All prices displayed on the Site are in the currency indicated at the time of purchase and include applicable taxes where required by law.
Payment is processed securely through Stripe, our third-party payment processor. We accept major credit cards (Visa, Mastercard, American Express), debit cards, and bank transfers where available.
We do not store your full credit card information on our servers. All payment data is handled directly by Stripe in compliance with PCI DSS (Payment Card Industry Data Security Standard).
By placing an order, you confirm that you are authorized to use the payment method provided and that the information you provide is accurate and complete.
We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear fraudulent, violate these Terms, or contain pricing errors.
An order confirmation email will be sent to the email address associated with your account upon successful payment.

8. Service Provisioning & Delivery

All products sold on Keys Locker are cloud-based subscription services delivered digitally:

Upon successful payment, we will provision your Microsoft subscription through the CSP program. You will receive provisioning instructions and/or an invitation link to your Microsoft tenant by email, typically within 24 hours of purchase.
To complete setup, you may need to accept the Microsoft Customer Agreement and provide your Microsoft tenant domain (or we will assist you in creating a new tenant if you do not have one).
Delivery is considered complete once subscription access has been provisioned and confirmation has been sent to your email address.
If you do not receive provisioning confirmation within 24 hours of payment, please contact us at support@keyslocker.com and we will resolve the issue promptly.

10. Intellectual Property

All Microsoft product names, logos, and trademarks are the property of Microsoft Corporation. Keys Locker is an authorized Microsoft CSP partner but is not affiliated with or endorsed by Microsoft beyond that authorized reseller relationship.
All original content on the Site — including text, graphics, logos (excluding third-party trademarks), and design — is the property of Keys Locker LLC and is protected by applicable copyright and intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works from our Site content without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

Keys Locker LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or purchase of Products.
Our total liability for any claim arising from a purchase shall not exceed the amount you paid for the specific subscription giving rise to the claim in the three (3) months preceding the claim.
We are not liable for service disruptions, outages, or feature changes arising from Microsoft’s cloud infrastructure or platform. Microsoft’s own SLAs govern service availability.
We are not responsible for delays or failures caused by factors beyond our reasonable control, including internet outages, Microsoft service incidents, or third-party service disruptions.

12. Disclaimer of Warranties

Services are provided “as described” on the product listing page. While we guarantee that all subscriptions provisioned through us are genuine Microsoft services through the official CSP channel, we make no additional warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. Microsoft’s own service level agreements (SLAs) govern the availability and performance of Microsoft cloud services.

13. Acceptable Use

You agree not to:

Use the Site or any Microsoft service for any unlawful purpose or in violation of any applicable law.
Attempt to gain unauthorized access to our systems, other user accounts, or any restricted areas of the Site.
Resell or commercially redistribute Microsoft subscriptions purchased from us without our authorization.
Use automated tools (bots, scrapers) to access the Site or collect data.
Submit false, misleading, or fraudulent information, including during account registration or checkout.
Violate Microsoft’s acceptable use policy or any terms of the Microsoft Customer Agreement.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in Sheridan County, Wyoming.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
