Only transferability. An OEM licence stays with the computer it first activates on; a retail licence can move to a replacement PC. The features, updates and activation steps are identical.

Phone-activation keys are not meant to pass the online check. Windows shows an error such as 0xC004C008 and then offers the phone route, which is the path this key uses.

Adding RAM, drives or a graphics card is fine. Replacing the motherboard normally ends an OEM licence, so choose the retail version if a rebuild is likely.
